      In het Hardy arrest (HR 3 februari 1956, NJ 1960, 120) oordeelde de Hoge Raad: “dat als een van de essentiële doeleinden van de vennoten van een als zodanig naar buiten optredende vennootschap en commandite, te wier aanzien volgens art. 7, lid 1, der Handelsregisterwet moet worden bekend gemaakt onder meer het bedrag der commanditaire gelden, moet worden aangenomen dat de 'inbreng' van den commanditairen vennoot de credietwaardigheid van het daarin gevoerde bedrijf en de mogelijkheid tot uitbreiding der zaken zal vergroten;dat dit doel bij die vennootschappen, welke een van dat van de vennoten in privé afgescheiden vermogen hebben waarin de commanditaire gelden zijn gevloeid, wordt bereikt doordat dit vermogen bijzonderlijk den zaakschuldeisers tot verhaal strekt en daarbij de commanditaire vennoot met hetgeen hij ingevolge de onderlinge regeling van zijn mede-vennoten wegens zijn inbreng te vorderen mocht hebben met hen niet kan concurreren; endat met betrekking tot de commanditaire vennootschappen met slechts één beherend vennoot, welke (....) de wet zodanig afgescheiden vermogen niet toekent, genoemd doel medebrengt dat de zaakschuldeisers bij hun verhaal op het vermogen van den beherend vennoot,waarin alsdan de commanditaire gelden zijn gevloeid, evenmin concurrentie van den commanditair zullen mogen lijden, en het stelsel der wet met betrekking tot zodanige vennootschappen dan ook in dien zin moet worden opgevat;endat aldus in geval van faillissement van den enigen beherend vennoot de zaakschuldeisers als concurrerende vorderingen slechts zullen hebben te erkennen die van de concurrente privé-schuldeisers, terwijl deze privé-schuldeisers, die door de werking van het vennootschapscontract, waarzij buiten staan, in het verhaal van hun vorderingen niet mogen worden benadeeld, hun aandeel in de aanwezige baten berekenen in normale concurrentie met de vorderingen van de concurrente zaak-schuldeisers en die van den commanditairen vennoot, welke laatste als gevolg van het door hem aangegane vennootschapscontract met het overblijvende genoegen heeft te nemen;”

      Zoals hiervoor blijkt maakt de inbreng van een commanditaire vennoot in de C.V. met één beherend vennoot hem geen deelgenoot in de vermogensgemeenschap, maar slechts crediteur van de beherend vennoot.De commanditaire vennoot als crediteur heeft ook een achtergestelde verhaalspositie ten opzichte van de zaakscrediteuren.

      De vraag of een commanditaire vennootschap met één beherend vennoot een afgescheiden vermogen heeft, werd door de Hoge Raad ontkennend beantwoord in zijn arrest van 3 februari 1956, NJ 1960, 120 (Hardy). In het arrest van 14 maart 2003 (NJ 2003, 327), komt de Hoge Raad uitdrukkelijk terug op het Hardy-arrest
